Consultation on the revised constitution to convert to a company limited by guarantee

The ECA WA Board would like to thank all members who attended the 2023 Annual General Meeting (AGM) or provided proxies on the Special Resolutions proposed for consideration at the recent AGM. As a member-based organisation, the Board recognises and respects the importance of members’ views.

Although the Special Resolutions proposed narrowly failed (by one vote) to achieve the required 75% for approval, the Board did take heart that the proposals were generally supported by members in principle, including by the majority of those who voted against their adoption. Feedback indicates that most members who voted against the proposal did so on the grounds of wanting greater consultation with members. 

The strong sentiments expressed at the AGM, even by those members who did not support the proposed Special Resolutions as tabled, are as follows:

 

  1. Conversion of ECA WA from an incorporated association to a company limited by guarantee had strong member support;

  2. Change of name of ECA WA to Electrotechnology Training Institute Limited received a strong indicative sentiment in favour;

  3. Adoption of a new Constitution to align with 1 and 2 was accepted although more opportunity for consultation with, and feedback from, interested members on some sections of the constitution was requested.

Having listened to the collective voice of members and to achieve the above, the Board has resolved to engage with interested members in the following consultation process.

9 November | Member consultation commences

Members receive notification of the consultation process and a copy of the draft constitution, which incorporates the issues raised at the September Member Briefing Session.

24 November | Feedback deadline closes

Feedback should include brief details of the provisions in the draft constitution that you wish to discuss or amend and why. This will assist in coordinating the Member Briefing Session. 👉 Email your feedback to Natalie Smith

7 December | Member Briefing Session

A briefing session (in person and online via Microsoft Teams) will be held with members to further discuss any feedback received on changes to the draft constitution.

12 December | Feedback from the Member Briefing Session is reviewed by ECA WA Board

The Board will consider the feedback from the Member Briefing Session and incorporate any agreed changes into the draft constitution.

15 December | ECA WA Board notifies members of Special General Meeting (SGM)

Based on the feedback received, the Board will issue formal notification for a SGM to be held on 23 January 2024. 

The sole item of business at the SGM will be Special Resolutions in similar terms to those proposed at the 2023 AGM, i.e. to:

 

  1. Convert ECA WA from an incorporated association to a company limited by guarantee;

  2. To change the name of ECA WA to Electrotechnology Training Institute Limited; and

  3. To adopt a new constitution based on the outcome of the member consultation process referred to above.

23 January | ECA WA Special General Meeting

An SGM will be held to vote on the above resolutions. The SGM details will be provided to all members by email on 15 December 2023.

The Board looks forward to members’ participation in, and feedback arising from, this consultation process.
